These Terms of Use (“Terms”) govern your access to and use of the website at vitay-global.com (the “Site”) and any quotes, orders, or communications you make through it. The Site is operated by Vitay Global LLC, a limited liability company formed in the State of Wyoming, United States (“Vitay Global,” “we,” “us,” or “our”). By using the Site or requesting a quote, you agree to these Terms. If you do not agree, do not use the Site.

1. Who We Are

Vitay Global LLC is a United States wholesale distributor of industrial automation and HVAC equipment, including hard-to-find, obsolete, and superseded parts. We ship from our stocking warehouse in Orlando, Florida. Our registered mailing address is 34 North Franklin Avenue, Unit 2466, Pinedale, WY 82941, United States.

2. Business-to-Business Use

The Site is intended for businesses, contractors, and trade professionals purchasing in the course of their business. By using the Site you represent that you are at least 18 years of age and have the authority to enter into these Terms on behalf of yourself or the business you represent. The Site is not directed to consumers purchasing for personal, family, or household use.

3. Quotes, Pricing & Availability

• Product listings, categories, and brand references on the Site are for information only and do not constitute an offer to sell at any particular price.
• A quote we provide is an invitation to do business, not a binding contract. Quotes are valid only for the period stated on the quote and are subject to prior sale and stock availability.
• Prices, lead times, and availability may change without notice and are confirmed only when we accept your order in writing. Personalized or account-based pricing, where offered, applies only to the customer and order it was issued for.
• Brand names, part numbers, and trademarks shown on the Site belong to their respective owners and are used only to identify the products we distribute. Their use does not imply endorsement or affiliation.

4. Orders, Payment & Shipping

All orders are subject to our acceptance. We may decline or cancel any order, including for pricing errors, suspected fraud, export restrictions, or stock shortfalls. Shipping terms, including free shipping on qualifying orders over $100, apply as stated at the time of order and may change. Title and risk of loss pass according to the shipping terms confirmed on your order.

5. Returns & Warranties on Products

Returns, exchanges, and any manufacturer warranties are handled on a per-order basis and may be subject to restocking fees, manufacturer policies, and condition requirements. Hard-to-find, obsolete, special-order, and non-stock items may be non-returnable. Contact us before returning any item.

6. Acceptable Use

You agree not to:

• use the Site for any unlawful purpose or in violation of US export, sanctions, or trade laws;
• submit false, misleading, or fraudulent information through our forms;
• attempt to gain unauthorized access to the Site, its systems, or other users’ data;

9. Limitation of Liability

To the fullest extent permitted by law, Vitay Global LLC and its members, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to your use of the Site. Our total liability arising out of or relating to the Site will not exceed one hundred US dollars ($100), or the amount you paid us for the specific order giving rise to the claim, whichever is greater.

You agree to indemnify and hold harmless Vitay Global LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Site or your breach of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. You agree that the state and federal courts located in Wyoming will have exclusive jurisdiction over any dispute arising out of these Terms or the Site, to the extent permitted by law.

12. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above reflects the latest revision. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
